The Management Board of Grupa Azoty has adopted a resolution to integrate companies within its Capital Group that provide business support services, including investment preparation and maintenance. Work is currently underway to finalize the integration schedule and the target organizational model. By the end of November, a dedicated project team will develop an organizational and ownership structure designed to deliver the anticipated business and financial benefits of the integration. This initiative is a key element of the restructuring process aimed at achieving significant cost optimizations.
Grupa Azoty S.A. has signed, on behalf of itself and selected subsidiaries of the Grupa Azoty Capital Group, an annex to the Agreement dated February 2, 2024, as amended. The Agreement’s validity period has been extended until 29 November 2024.

Following discussions and negotiations with banks, Grupa Azoty Polyolefins has signed an Amendment to the Stabilization Agreement dated December 15, 2023, related to the financing of the Polimery Police project. This agreement, which extends financing terms until October 31, was signed with 15 financial institutions.
Grupa Azoty S.A. has filed a criminal complaint regarding suspected misconduct involving non-compete agreements for key management personnel (directors). The complaint alleges intentional misconduct that posed a direct risk of significant financial loss to the company, amounting to nearly PLN 500,000.
Grupa Azoty S.A., on behalf of itself, Grupa Azoty Puławy, and Grupa Azoty Police, has signed a Letter of Intent with Orlen. This document initiates a strategic analysis of potential transactions in the polymers segment, with a particular focus on Grupa Azoty Polyolefins. The analysis will also cover caprolactam and polyamide 6 production and sales, as well as the seaport in Gdańsk owned by Grupa Azoty Fosfory. This Letter of Intent is part of Grupa Azoty’s ongoing Strategic Business Review project. Importantly, the Letter of Intent does not cover the fertilizer sector, which remains Grupa Azoty's core business.
