On July 29, Grupa Azoty S.A. received a notification on behalf of Radosław Kwaśnicki regarding the loss of control over the shares of Grupa Azoty S.A. held by entities associated with Vyacheslav Kantor. This development marks the end of the temporary management established on July 11, 2023. Crucially, this follows the publication in the Official Journal of the European Union about the sanctions imposed on Vyacheslav Kantor on April 8, 2022, and the national sanctions imposed on April 25, 2022, affecting Vyacheslav Kantor and his associated entities: Norica Holding S.a.r.l. (Luxembourg), Opansa Enterprises Limited (Cyprus), and Rainbee Holdings Limited (Cyprus), which collectively hold 19.82% of Grupa Azoty S.A.'s shares. The sanctions include the freezing of financial assets, including the shares of Grupa Azoty S.A. owned by Kantor's associated entities. This freeze has restricted all corporate and property rights of these entities as shareholders since April 25, 2022. Importantly, the termination of temporary management does not affect Grupa Azoty's operations or its relationships with trade partners in various countries.

The 7th edition of the "We Care for Polish Soil" lottery, held under the slogan "The Best for the Best," has concluded. Anyone who made a single purchase of Grupa Azoty fertilizers worth at least PLN 1,000 gross between February 1 and April 30 was eligible to participate. This year's grand prize, a John Deere 5090M tractor, was awarded to Mr. Adam from the Lublin province, who purchased Pulan fertilizer for almost PLN 2,000 gross on the winning receipt.

Grupa Azoty has completed its agreements in the Agro sector for the 2024/2025 season, signing a total of 66 contracts with its authorized distribution network for the domestic market. Internationally, a significant portion of sales is based on short-term agreements, while some cooperation is carried out under framework agreements.

Hubert Kamola, Vice President of the Management Board of Grupa Azoty S.A. and President of the Management Board of Grupa Azoty Puławy, has been elected Vice President of Fertilizers Europe by its General Assembly. Fertilizers Europe represents the largest European fertilizer companies, and Kamola's term will run from 2024 to 2026.

The Management Board of Grupa Azoty S.A. announces that on June 27th, 2024, pursuant to resolutions of the Annual General Meeting, the following persons were appointed as Members of the Company's Supervisory Board for the 12th joint term of office: Mr Artur Kucharski - as Chairman, Mr Robert Bednarski, Mr Piotr Marciniak, Mr Artur Rzempała, Mr Mirosław Sobczyk, Mr Robert Kapka - candidate elected by the Company's employees, Mr Tomasz Klikowicz - candidate elected by the Company's employees, Mr Roman Romaniszyn - candidate elected by the Company's employees.

The Annual General Meeting of Grupa Azoty S.A. was held in Tarnów, Poland, on Thursday, June 27th, 2024. The Annual General Meeting passed approving resolutions, among others: the Company's financial statements for the financial year 2023, the consolidated financial statements of the Grupa Azoty Group for the financial year 2023, Director’s report on the operations of Grupa Azoty S.A. and the Grupa Azoty Group for the financial year 2023, the report on the activities of the Supervisory Board for the financial year 2023.
