The Management Board of Grupa Azoty S.A. announces that on June 27th, 2024, pursuant to resolutions of the Annual General Meeting, the following persons were appointed as Members of the Company's Supervisory Board for the 12th joint term of office: Mr Artur Kucharski - as Chairman, Mr Robert Bednarski, Mr Piotr Marciniak, Mr Artur Rzempała, Mr Mirosław Sobczyk, Mr Robert Kapka - candidate elected by the Company's employees, Mr Tomasz Klikowicz - candidate elected by the Company's employees, Mr Roman Romaniszyn - candidate elected by the Company's employees.

The Annual General Meeting of Grupa Azoty S.A. was held in Tarnów, Poland, on Thursday, June 27th, 2024. The Annual General Meeting passed approving resolutions, among others: the Company's financial statements for the financial year 2023, the consolidated financial statements of the Grupa Azoty Group for the financial year 2023, Director’s report on the operations of Grupa Azoty S.A. and the Grupa Azoty Group for the financial year 2023, the report on the activities of the Supervisory Board for the financial year 2023.

On June 27, 2024, Grupa Azoty S.A. held its Ordinary General Meeting of Shareholders. Key resolutions approved during the meeting included: the Company's financial statement for the fiscal year 2023, the consolidated financial statement of the Capital Group for the fiscal year 2023, the Management Board's report on the activities of the Company and the Capital Group for the fiscal year 2023, the Supervisory Board's report on its activities in the fiscal year 2023.

The Management Board of Grupa Azoty S.A. announced that on June 27, the Ordinary General Meeting appointed the following individuals to the Supervisory Board for the twelfth joint term: Mr. Artur Kucharski – Chairman
Mr. Robert Bednarski, Mr. Piotr Marciniak, Mr. Artur Rzempała, Mr. Mirosław Sobczyk, Mr. Robert Kapka – elected by the employees of the Company, Mr. Tomasz Klikowicz – elected by the employees of the Company, Mr. Roman Romaniszyn – elected by the employees of the Company.

In efforts to finalize a long-term agreement with financial institutions, the Management Board of Grupa Azoty has set up a cost optimization team focused on employee wages within the Grupa Azoty Capital Group and on analyzing Collective Bargaining Agreements (CBA). Additionally, the Management Board of Grupa Azoty, along with the Boards of key Capital Group companies, has requested from the Company’s Trade Union Organizations the suspension of certain costly CBA provisions. These initiatives aim to create unified solutions across the entire Capital Group, update CBA provisions, and adapt some solutions to the current financial situation.

In alignment with the agreement with financing parties noted in Current Report No. 10/2024, the Management Board of Grupa Azoty S.A. resolved on June 21 to convene an Extraordinary General Meeting. The agenda includes approving the primary scope of the considered securities on Grupa Azoty S.A.'s assets, pending Supervisory Board approval. Similar resolutions were made by the Management Boards of Grupa Azoty Puławy, Grupa Azoty Police, and Grupa Azoty Zakłady Azotowe Kędzierzyn S.A. This marks another step in executing the action plan agreed with financial institutions while negotiating a long-term agreement.
