Grupa Azoty Confirms Share Issuance Plan

Grupa Azoty is proceeding with the plan to increase its capital and has called an Extraordinary General Meeting (EGM) for 22 September. The purpose of the meeting is to adopt a resolution extending the transaction deadline and enabling completion of the issuance of up to 33.7 million Series E shares to the State Treasury. Convening the EGM is a formal procedural step required under statutory provisions.

The new resolution will replace the EGM resolution of 13 March 2026, preserving all of its key terms. The need for a new resolution stems directly from the Commercial Companies Code, which limits the window for registering a capital increase with the National Court Register (KRS) to six months from the date of the decision. For the current issuance resolution, this deadline falls on 13 September; the replacement resolution will allow Grupa Azoty to complete the full procedure beyond that date.

The key parameters of the planned transaction remain unchanged from the 13 March resolution. Share capital will be increased through the issuance of up to 33,726,465 new Series E shares, offered exclusively to the State Treasury via private subscription. The share subscription agreement may be concluded no later than six months from the date the resolution is adopted. Following the transaction, the State Treasury’s stake in Grupa Azoty’s share capital will not exceed 50%.

‘The share issuance is part of a broader plan to restore Grupa Azoty’s financial stability. Delivering it requires coordinated, multi-level actions and agreements. The need for a further resolution follows directly from statutory timelines. The transaction will accelerate the company’s transformation and expand our capacity to finance key development projects,’ said Jacek Podgórski, Deputy CEO of Grupa Azoty.
