Grupa Azoty S.A., on its own behalf and on behalf of selected companies from the Grupa Azoty Capital Group, has signed an annex to the Agreement dated February 2, 2024 (as amended) with the Financing Institutions. The term of the Agreement has been extended until May 15, 2025, provided that the relevant Financing Institutions confirm the extension by April 30 of this year.
‘We are currently in the midst of several key processes for the Group, including the Polimery Police investment project. The solutions we are now developing aim to transition from a phase of short-term technical agreements with financing institutions—lasting several weeks or months—to a phase of a final, long-term agreement,’ said Andrzej Skolmowski, Vice President of the Management Board of Grupa Azoty S.A.
Signing the Annex to the Agreement ensures continued access to credit limits under the Financing Agreements and prevents the financing institutions from taking actions to cancel or reduce the available limits. It also ensures that certain rights arising from the Financing Agreements will not be exercised due to breaches or potential breaches during the term of the Agreement. Subject to the consent of the financing institutions, the Agreement may be further extended.
The Company emphasizes that it continues to meet all obligations related to the servicing and repayment of debt under the Financing Agreements, and the available limits under these agreements ensure liquidity and secure the financing of Grupa Azoty’s operations and obligations to suppliers, as well as the continuity of business activities.
The Annex, effective as of March 31 of this year, was signed with the following Financing Institutions: Powszechna Kasa Oszczędności Bank Polski S.A., Bank Gospodarstwa Krajowego, ING Bank Śląski S.A., Santander Bank Polska S.A., Caixabank S.A. (Poland Branch), BNP Paribas Faktoring sp. z o.o., ING Commercial Finance Polska S.A., Pekao Faktoring sp. z o.o., BNP Paribas Bank Polska S.A., Santander Factoring sp. z o.o., and Banco Santander S.A. (Frankfurt Branch), as well as the European Bank for Reconstruction and Development and the European Investment Bank.
