The Annual General Meeting passed resolutions to receive:

• the financial statements of Grupa Azoty S.A. for the 12 months ended December 31st 2022,
• the consolidated financial statements of the Grupa Azoty Group for the 12 months ended December 31st 2022,
• the Directors’ Report on the operations of Grupa Azoty S.A. and the Grupa Azoty Group in the 12 months ended December 31st 2022,
• the consolidated report of the Grupa Azoty Group on payments to governments for the 12 months ended December 31st 2022,
• the non-financial statement of the Grupa Azoty Group for the 12 months ended December 31st 2022.

The General Meeting also passed a resolution on the allocation of net profit for the financial year 2022, whereby the Company’s net profit for that year, of PLN 356m (three hundred and fifty-six million), has been fully allocated to increase the Company’s statutory reserve funds.

All of the members of the Company’s Supervisory and Management Boards were granted discharge from liability in respect of their duties in the financial year 2022.

The General Meeting further considered and received the Supervisory Board’s report on the activities of the Supervisory Board in the financial year 2022, including the assessments and information specified in Art. 382.3¹ of the Commercial Companies Code and in the Company’s Articles of Association and Best Practice for WSE Listed Companies 2021.
