The amount paid by Grupa Azoty for the COMPO EXPERT shares was EUR 226,637 thousand. On the transaction closing date, Grupa Azoty paid the full price for and acquired the ownership title to the shares.

The acquisition of COMPO EXPERT is consistent with Grupa Azoty’s strategy to reinforce its position as a leading provider of agricultural solutions. The transaction also opens new opportunities for the Grupa Azoty Group to diversify its business while acquiring highly innovative technologies and know-how as well as an extended distribution network. For many years now, the Group has been planning to add specialty products to its portfolio. The transaction will allow it to considerably extend its customer base to include producers of more demanding plants,” said Wojciech Wardacki, President of the Management Board of Grupa Azoty.
The agreement between Grupa Azoty and Goat Netherlands B.V. was signed in September 2018. In the past months, consent for the acquisition by Grupa Azoty of 100% of shares in the COMPO EXPERT Group was granted by the Extraordinary General Meeting of Grupa Azoty S.A. as well as by German, Austrian, and Turkish anti-trust authorities. Thus, the necessary conditions laid down in the share purchase agreement were fulfilled.
The COMPO EXPERT Group is an independent, global manufacturer of high value-added specialty fertilizers which sells its products in nearly 100 countries. For many years, the company has enjoyed a very strong and well-established market position in Europe. It also has a strong presence in South and North Americas and in Asia, where it is involved in a strategic partnership in the fastest-growing global markets of China and India.
The Grupa Azoty Group is the undisputed leader of the fertilizer and chemical market in Poland and one of its key players in Europe.
