The Annual General Meeting passed resolutions to approve:

• financial statements of Grupa Azoty S.A. for the 12 months ended December 31st 2021,
• consolidated financial statements of the Grupa Azoty Group for the 12 months ended December 31st 2021,
• Directors’ Report on the operations of Grupa Azoty S.A. and the Grupa Azoty Group in the 12 months ended December 31st 2021,
• consolidated report of the Grupa Azoty Group on payments to governments for the 12 months ended December 31st 2021,
• non-financial statement of the Grupa Azoty Group for the 12 months ended December 31st 2021.

The General Meeting also passed a resolution on the allocation of net profit for the financial year 2021, whereby the Company’s net profit for the financial year 2021, of PLN 191,789,688.13 (one hundred and ninety-one million, seven hundred and eighty-nine thousand, six hundred and eighty-eight złoty, and thirteen grosz), has been fully allocated to increase the Company’s statutory reserve funds.

The General Meeting issued a positive opinion on the Report of the Grupa Azoty S.A. Supervisory Board on remuneration of members of the Management Board and Supervisory Board for 2021.

The members of the Company’s Management and Supervisory Boards were granted discharge from liability in respect of their duties in the financial year 2021.
