“In the transaction, Norica Holding has transferred a portion of its shareholding in Grupa Azoty S.A. (i.e. 9,820,352 shares representing 9.8999% of total voting rights at the General Meeting) to its subsidiary, Rainbee Holdings Limited of Cyprus, as a non-cash contribution to cover an increase in the subsidiary's share capital. Following the transaction, the interest held by the companies controlled by Mr Viatcheslav Moshe Kantor in the share capital of Grupa Azoty S.A. remains unchanged, at 20.0026% of total voting rights at the Company's General Meeting,” explained Andrzej Skolmowski, Vice-President of the Management Board of Grupa Azoty S.A.

Prior to the transaction, Rainbee Holding, Norica Holding's subsidiary, did not hold, whether directly or indirectly, any shares in the Company. 

Norica Holding continues to hold, directly and through its direct subsidiary Rainbee Holding, 19,841,700 shares representing 20.0026% of the total number of shares in Grupa Azoty S.A. Following the transaction, Norica Holding directly holds 10,021,348 shares in the Company, representing 10.1026% of the total number of shares of Grupa Azoty S.A.
