On February 9, the previous Management Board of Grupa Azoty S.A. reported that the potential estimated non-cash impact of the impairment of Grupa Azoty Polyolefins' assets would reduce Grupa Azoty S.A.'s consolidated EBIT for 2023 by (minus) PLN 900 million. However, according to information obtained by the new Management Board of Grupa Azoty on March 28, the estimated non-cash impact of the described event will reduce Grupa Azoty S.A.'s consolidated EBIT for 2023 by approximately (minus) PLN 1,138 million, compared to the originally estimated value of (minus) PLN 900 million. This event will not affect the consolidated EBITDA of Grupa Azoty S.A.
Following discussions and agreements with banks, Grupa Azoty Polyolefins signed an Amendment to the Stabilization Agreement dated December 15, 2023, regarding the financing of the Polimery Police project on March 28, 2024. The parties have agreed on the conditions under which the Financial Institutions will provide financing for the project in the next period of the Stabilization Agreement, i.e., until April 26, 2024. The amendment was signed with 15 financial institutions.
Grupa Azoty S.A. has, on its own behalf and on behalf of the companies within the Grupa Azoty Capital Group, signed an Amendment to the Agreement dated February 2, 2024.
The Management Board of Grupa Azoty S.A. announces that on March 21, 2024, it received a statement from the Undersecretary of State at the Ministry of State Assets, the representative of the Minister of State Assets, dated March 21, 2024, acting under § 16(2) of the Company's Articles of Association, on the appointment of Artur Rzempała as a Member of the Supervisory Board of the Company.
The Supervisory Board of Grupa Azoty S.A. has appointed Adam Leszkiewicz as President of the Management Board of Grupa Azoty S.A., effective March 20, 2024. Additionally, the following individuals have been appointed as Vice Presidents of the Management Board, effective March 20, 2024: Andrzej Skolmowski, Krzysztof Kołodziejczyk, Andrzej Dawidowski, and Dr. Paweł Bielski. The Supervisory Board has also resolved to delegate Hubert Kamola, a Member of the Supervisory Board, to perform the duties of Vice President of the Management Board from March 20, 2024, until a new Board Member is appointed in a supplementary qualification process, but for no longer than three months.
Following the announcement on February 27, 2024, regarding the initiation of a qualification process for positions on the Management Board of Grupa Azoty S.A., the Supervisory Board informs that in the qualification process aimed at appointing 6 members of the Management Board of Grupa Azoty S.A., 73 candidate applications were submitted by the deadline, March 14, 2024, at 12:00 PM.
